Terms of Service

These Terms of Service (“Terms”) form a binding agreement between Beridy Limited (“Beridy,” “we,” “us”) and the business creating an account (“Operator,” “you”) to use Beridy's booking, dispatch, and operations platform (the “Service”). By creating an account you accept these Terms on behalf of yourself and the business you represent. If you do not agree to them, do not use the Service.

Beridy is software that lets an independent transportation business take bookings, dispatch drivers, and run day to day operations. When you sign up, you receive a dashboard and a branded booking page, at a Beridy web address (beridy.com/yourbusiness) or a custom domain you connect, and embeddable directly on your own website, where your customers (“Riders”) can request rides.

You must be at least 18 years old, authorized to bind the business you represent, and able to provide accurate account and business information. Each business account has a single owner and is responsible for all activity under it, including that of any team members it invites.

You are responsible for keeping your login credentials confidential and for using a subdomain or custom domain you have the right to use. Beridy may suspend or reclaim a subdomain that infringes another party's rights or impersonates another business.

Beridy charges per completed ride: there is no monthly base fee and no per-seat charge. The current rate is $0.50 per completed ride, shown at sign-up and on our pricing page. You will not be charged before a ride is completed. Beridy will give Operators at least 30 days' notice of any pricing change.

Payments are processed by Lemon Squeezy, acting as merchant of record, which collects and remits any sales tax or VAT that applies to your subscription. If a payment fails, Beridy may retry it and may restrict booking or dispatch features on your account until the balance is settled. Fees already charged are non-refundable except where required by law.

You are responsible for the transportation services your business provides, including any licensing, insurance, driver qualification, and regulatory requirements that apply to it, such as Medicaid non-emergency medical transport (NEMT) rules and electronic visit verification (EVV) requirements where they apply. Beridy's EVV tools (GPS-based pickup and dropoff verification and signature capture) assist with recordkeeping. They do not certify compliance with any specific program, and you are responsible for confirming they meet what your funders or regulators require.

You are responsible for your relationship with your Riders and drivers, including pricing, cancellations, refunds, dispute handling, and any terms or privacy notices you give them directly. Beridy is not a party to the transportation agreement between you and your Riders.

Using the Service means entering or collecting personal information about your Riders and drivers, such as names, contact details, pickup and dropoff locations, ride and payment details, and, for EVV, location and signature captures. You control this data. You represent that you have the right to share it with Beridy and to have Beridy process it on your behalf to operate the Service, as described in our Privacy Policy. You are responsible for obtaining any consents your Riders and drivers must give under applicable law.

Some NEMT bookings involve information connected to a Rider's health, such as an appointment type or mobility need, and rides billed to Medicaid or a similar program may fall under health data laws in a given country or state. Beridy does not currently sign Business Associate Agreements or represent that it meets a specific health data certification. If a program you serve requires one before you use the Service for that program, contact hello@Beridy.com before doing so. Beridy reserves the right to require a separate written agreement covering that data before it is processed through the Service.

When using the Service, you agree not to:

• Use it for anything illegal, fraudulent, or unrelated to operating a transportation business.
• Access or attempt to access another business's data, account, or subdomain.
• Interfere with or overload the Service's infrastructure, or reverse-engineer or scrape it outside our public API.
• Store or transmit anyone else's personal data through the Service without a lawful basis to do so.
• Use the Service in violation of applicable export control or trade sanctions laws.

Beridy and its licensors own the Service, including its software, design, and branding. You own the content and data you and your Riders put into the Service (“Your Data”). You grant Beridy a license to host, process, and display Your Data solely to provide and improve the Service.

Beridy relies on infrastructure and service providers to operate, including Supabase for database, authentication, and storage, Resend for email delivery, Lemon Squeezy for billing, Google Maps Platform for address search and geocoding, and Vercel for hosting and custom domains. Features built on these providers are also subject to those providers' terms.

You may stop using the Service and close your account at any time. Beridy may suspend or terminate your account if you materially breach these Terms, use the Service in a way that risks harm to Beridy or others, or if required to do so by law. On termination, Beridy will give you a reasonable period to export Your Data before deleting it, except where it must be retained longer by law.

The Service is provided on an “as is” and “as available” basis. Beridy does not guarantee it will be uninterrupted or error-free. Location-based features, including ETAs and EVV geofence verification, are approximate rather than exact. To the fullest extent permitted by law, Beridy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Beridy will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Beridy's total liability for any claim relating to the Service is limited to the fees you paid in the three months before the claim arose.

You will defend and indemnify Beridy against claims arising from your transportation services, your relationship with your Riders or drivers, Your Data, or your breach of these Terms.

Governing law and jurisdiction. These Terms are governed by the laws of the Republic of Kenya. The courts of Kenya have exclusive jurisdiction over any dispute arising from these Terms or the Service, regardless of where you are located.

Assignment. You may not assign these Terms without Beridy's consent. Beridy may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.

No waiver. Failing to enforce a provision of these Terms is not a waiver of the right to enforce it later.

Force majeure. Neither party is liable for a delay or failure to perform caused by circumstances beyond its reasonable control.

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Beridy regarding the Service and replace any earlier agreements on the same subject.

Beridy may update these Terms as the Service evolves. For a material change, account owners will be notified by email or in-app notice at least 14 days before it takes effect. Continued use of the Service after that point means you accept the updated Terms.
